Website Terms and Customer Transaction Agreement

These Terms govern access to the amexa.ai website and authorized use of Lumira™ and related Amexa.ai services. They are not represented as attorney-approved transaction terms merely because they appear on the public website.

A paid customer transaction must also use the exact customer agreement, order, statement of work, or other commercial instrument presented and accepted for that transaction. If that approved transaction agreement conflicts with these public Terms, the transaction agreement controls the paid customer relationship to the extent stated in it.

Controlled Launch and Availability

Amexa.ai may operate Lumira™ as a controlled first-customer launch while production, provider, legal, security, and operational gates are completed. Features, integrations, checkout, or account entry points may therefore be access-gated, selectively enabled, supervised, or unavailable.

The presence of code, a user-interface element, a provider definition, a preview, or a roadmap item does not by itself mean that capability is connected, production-ready, autonomous, or included in a customer's scope.

Lumira™ Services and Approved Scope

Lumira™ is Amexa.ai's AI-assisted business operating and workflow platform. Depending on the customer's approved configuration, services may include lead intake and qualification support, workflow organization, approved third-party integrations, supervised communications, reporting, customer-service assistance, and AI-assisted business operations.

A capability is included only when it is part of the customer's approved scope and any required provider account, authorization, privacy, security, consent, configuration, and production-acceptance conditions are satisfied.

$2,500 Implementation + $997/month Subscription Model

Amexa.ai's current controlled-launch commercial offer is a one-time $2,500 Implementation fee plus a $997 per month recurring Lumira™ subscription, as presented in the applicable approved offer or transaction agreement. The Implementation fee is charged once and configures and deploys the customer's Lumira™ environment around the agreed business scope, including the approved workflow, reporting, AI configuration, and launch setup described in that transaction.

The $997 per month subscription is recurring. It renews automatically each month until cancelled, and it covers ongoing access to the customer's Lumira™ environment within the approved scope. The exact amounts, billing start date, currency, and any applicable taxes are shown at checkout before payment is authorized, and the charge is created only by the payment provider after the customer accepts this agreement.

Third-party provider charges, pass-through usage costs, additional implementation work, annual or prepaid plans, refunds, cancellation terms, taxes, and support terms must be disclosed in the applicable approved agreement or order before they become binding.

A test, sandbox, Founder acceptance, preview, coupon, internal QA amount, or other non-production mechanism does not change the normal customer price unless Amexa.ai expressly incorporates a different price into an approved customer transaction.

Checkout and Agreement Acceptance

Live payment may be enabled only when Amexa.ai has authorized live commerce and the required customer-agreement, payment-provider, webhook, security, and provisioning conditions are satisfied. The checkout flow may fail closed when those conditions are not met.

A no-charge preview, estimate, Business Review, or checkout preview does not create a paid order or authorize Amexa.ai to charge a payment method.

Third-Party Integrations

Lumira™ may support third-party systems such as CRM, email, communications, calendar, accounting, collaboration, payment, analytics, or other business providers. Amexa.ai may classify a provider as native, connected, hybrid, secure-import, fallback, architecture-ready, or another implementation state without representing the provider as live for a specific customer.

Third-party providers have their own terms, privacy practices, availability, rate limits, pricing, and security requirements. Amexa.ai is not responsible for provider outages or changes outside Amexa.ai's control, although Lumira™ is designed to contain provider failures so unrelated dashboard functions can continue where reasonably possible.

Customer Responsibilities

Customers are responsible for the accuracy and lawfulness of data they provide or connect, maintaining the confidentiality of their credentials, using approved accounts, obtaining permissions or consents required for communications and connected data, and following applicable laws and provider terms.

Where a consequential action requires human approval, customers are responsible for completing that approval before release. Lead qualification, opportunity scoring, or the presence of contact information does not itself grant permission to call, text, email, or otherwise contact a person.

AI and Supervised Capabilities

AI-generated messages, summaries, classifications, scores, recommendations, and other outputs can contain errors. They should be reviewed according to the applicable workflow and must not be treated as legal, financial, medical, tax, or other professional advice.

Some Lumira™ capabilities may be supervised, conditional, configuration-dependent, or subject to human approval. Amexa.ai does not promise autonomous operation where the product or applicable policy requires review, approval, consent, or escalation.

Amexa.ai does not guarantee leads, conversion rates, sales, revenue, savings, ROI, legal compliance, trademark registration, patent protection, business growth, or any other specific commercial outcome.

Communications and Consent

Customers using Amexa.ai-supported communications are responsible for having a lawful basis and any required consent to contact recipients and for complying with applicable channel, telemarketing, privacy, and platform requirements.

Customers must not bypass opt-outs, suppression rules, quiet hours, approval requirements, authentication controls, or other safeguards configured for the service.

Acceptable Use

The website and services may not be used for unlawful activity, fraud, harassment, unauthorized access, credential abuse, malicious interference, prohibited scraping, attempts to obtain another tenant's data, or unauthorized reverse engineering or circumvention of Amexa.ai security and access controls.

Amexa.ai may restrict, freeze, or terminate access when reasonably necessary to protect security, privacy, service integrity, legal obligations, payment integrity, or other users, subject to the applicable customer agreement.

Intellectual Property

Amexa.ai and its licensors retain rights in Lumira™, software, source code, platform architecture, prompts, models, workflows, documentation, trade secrets, branding, designs, and other proprietary materials. Customers receive only the access and usage rights granted by the applicable approved agreement. No customer relationship transfers ownership of Amexa.ai source code, proprietary prompts, internal architecture, trade secrets, or other protected Amexa.ai materials unless an authorized written agreement expressly says otherwise.

Customers retain rights in customer-provided data and content, subject to the limited permissions needed for Amexa.ai and approved providers to process that material to deliver, secure, and support the service as described in the applicable agreement and Privacy Policy.

Security and Account Access

Customers must use approved authentication methods and protect their accounts. Sensitive actions may require MFA/AAL2, role authorization, tenant authorization, or additional Founder/administrative approval.

No online service can eliminate all security risk. Amexa.ai may use fail-closed controls, kill/freeze controls, rate limits, revocation, rollback, and other safeguards where appropriate, but does not guarantee uninterrupted availability or perfect security.

Payments, Refunds, Disputes, and Payout Timing

Payment processing is handled by an approved payment provider. Payment authorization, processing, refunds, disputes, fees, balances, and payout timing are subject to provider rules and the applicable customer agreement.

A payment date is not necessarily the same as the date funds are deposited into Amexa.ai's bank account. Amexa.ai does not promise immediate payout timing and does not treat a pending processor balance as cash already deposited.

Disclaimers, Liability, Termination, and Governing Terms

The final warranties, disclaimers, liability allocation, service term, renewal, termination, dispute process, governing law, and venue for a paid customer relationship are controlled by the approved customer transaction agreement applicable to that relationship.

These public Terms should not be interpreted as replacing counsel review of the customer agreement or other legal documents Amexa.ai may require for launch or a particular customer engagement.

Changes and Contact

Amexa.ai may update these Terms as the website, launch status, services, integrations, or legal requirements evolve. The last-updated date reflects the current public version. Material changes affecting an active paid customer are also subject to the agreement applicable to that customer.
